Inviting applications for the role of VP, Commercial Counsel – Legal
We are in search of a Commercial Lawyer to lead negotiations of complex outsourcing, technology and digital deals. The incoming executive will draft agreements, identify risks, and advise the business on how to mitigate deal risk. The role works closely with the sales and commercial organizations and SMEs from across the company, including tax, insurance, operations, etc.
Trusted advisor to sales, commercial and other business functions, supporting all phases of outsourcing and technology engagements, from RFP to execution.
Advise on legal and regulatory issues throughout deal lifecycle including commercial terms, risk management, intellectual property, software licensing, cloud/SaaS, ARD/TUPE, data privacy, security and compliance issues.
Structure, draft and negotiate customer technology and outsourcing contracts, driving closure effectively with an appropriate balance of risk
Contribute to the development of know-how, knowledge capital, templates and tools to establish effective and efficient profile of legal team. Utilize digital to improve operational efficiency, re-imaging processes and developing tools to improve legal services.
Provide training and skills development, collaborate with and develop talent in other legal team members
Travel to client / Genpact offices as needed
Highly skilled negotiator, with shown success closing complex managed services and technology deals
First seat experience negotiating against partner level private practice lawyers and senior in-house lawyers
Qualified solicitor, barrister or European-qualified lawyer with a 15+ years’ experience
Commercial and pragmatic approach, able to see the big picture and solve for obstacles, driving deals to closure quickly within reasonable risk parameters
Ability to build effective working relationships across a fast paced and evolving business, to communicate effectively with internal business partners as well as with clients, acting as a business person with a “legal” hat
Ability to work independently with minimal supervision and to balance and prioritize multiple time-sensitive tasks effectively
Proficient contract drafting skills – experience with working from customer drafted forms, good awareness of local market positions on key risks
Some experience of or exposure to commercial, pricing and operational issues and disputes handling will be an asset
Experience or familiarity with new computing models and concepts (such as RPA, AI and data mining) intellectual property, data protection, security including cyber security, as well as supporting other company projects as required.
Excellent verbal and written communication skills in English and at least one European language
Tech savvy – proficient in the Microsoft Office 365 toolset, especially Word, Excel and SharePoint
